These Affiliate Program Terms & Conditions apply to the Jessica Maguire Affiliate Program offered by Neuroregulation Seminars and Programs, Inc. (d/b/a Jessica Maguire) (“Company,” “Jessica Maguire,” “we,” “us,” or “our”).

By applying to, being approved for, or participating in the Jessica Maguire Affiliate Program, you (“Affiliate,” “you,” or “your”) agree to comply with these Terms & Conditions, any written affiliate agreement, any brand or promotional guidelines provided by the Company, and all applicable laws, rules, and platform requirements.

1. Program Overview

The Jessica Maguire Affiliate Program is an application-only affiliate program that allows approved affiliates to earn commissions by referring eligible customers to Jessica Maguire programs, courses, events, and related offers, including the Nervous System Certification Course (“NSCC”).

Approved Affiliates may share Company-approved affiliate links, promotional materials, descriptions, images, copy, and other approved assets with their audience, subject to these Terms & Conditions and any written guidelines provided by the Company.

Participation in the Affiliate Program does not create an employment, agency, partnership, joint venture, franchise, legal representative, or sales representative relationship between the Affiliate and the Company.

2. Eligibility and Approval

Participation in the Affiliate Program is not automatic. The Company may approve, deny, suspend, or remove any Affiliate at its sole discretion.

To participate, an Affiliate must:

• Be at least 18 years old;
• Submit a complete and accurate affiliate application;
• Be approved by the Company in writing;
• Provide accurate contact, payment, and tax information;
• Keep all account, payment, and tax information current;
• Use only approved affiliate links and promotional materials;
• Comply with these Terms & Conditions, all written affiliate guidelines, and applicable law.

The Company may prioritize applicants who have completed NSCC, are currently enrolled in NSCC, have an aligned professional audience, or otherwise demonstrate a genuine connection to Jessica Maguire’s work.

Affiliate status, links, dashboards, promotional materials, and commissions may not be transferred, assigned, sold, or shared with another person or entity without prior written approval from the Company.

3. Affiliate Tiers and Commission Structure

Unless otherwise stated in writing by the Company, the Affiliate Program includes two commission tiers:

Standard Affiliate

Standard Affiliates earn a 20% commission on eligible completed sales attributed to their approved affiliate link.

At current NSCC pricing, estimated Standard Affiliate commissions may range from approximately $700 to $990 per NSCC enrollment, depending on the final purchase price and eligible offer.

VIP Partner

VIP Partners earn a 25% commission on eligible completed sales attributed to their approved affiliate link.

At current NSCC pricing, estimated VIP Partner commissions may range from approximately $875 to $1,237 per NSCC enrollment, depending on the final purchase price and eligible offer.

VIP Partner status is by invitation or may be granted after three or more approved referred sales, subject to Company review and written confirmation. VIP Partner status is not automatic and may be changed, paused, or revoked by the Company at its discretion.

4. Eligible Offers

The Company may make certain programs, courses, events, or offers eligible for affiliate commissions from time to time.

Eligible offers may include:

• Nervous System Certification Course (“NSCC”);
• Select Jessica Maguire networking events;
• Other programs, courses, events, or offerings expressly approved by the Company.

Not all Jessica Maguire products, services, events, memberships, retreats, or programs are automatically commissionable. An offer is commissionable only if the Company enables affiliate tracking for that offer or confirms commission eligibility in writing.

The Company controls all pricing, enrollment terms, payment plans, discounts, refund policies, program availability, and offer eligibility.

5. Tracking, Cookie Window, and Attribution

Affiliate referrals are tracked through the affiliate tracking system used by the Company, currently anticipated to be Kajabi or another Company-approved platform.

Unless otherwise stated in writing by the Company, the standard affiliate cookie window is 90 days from the first qualifying click.

A commission is payable only when the Company’s approved tracking system attributes an eligible completed sale to the Affiliate’s approved affiliate link.

The Company is not responsible for commissions that cannot be tracked or attributed because of broken links, incorrect links, expired cookies, browser settings, privacy settings, customer deletion of cookies, use of unauthorized links, offline purchases, technical issues, third-party platform errors, or other circumstances outside the Company’s reasonable control.

6. Qualified Sales

A sale is eligible for commission only when all of the following are true:

• The customer used the Affiliate’s approved tracking link;
• The sale was successfully processed and paid;
• The product, program, event, or offer is included in the Affiliate Program;
• The sale is attributed to the Affiliate through the Company’s approved tracking system;
• The customer remains enrolled beyond the applicable refund or cancellation window;
• The sale is not canceled, refunded, charged back, disputed, reversed, fraudulent, or otherwise invalid;
• The Affiliate complied with these Terms & Conditions, all promotional rules, and applicable law.

The Company has final authority to determine whether a sale qualifies for commission.

7. Payout Schedule and Threshold

Unless otherwise stated in writing by the Company, commissions are paid monthly on or around the 15th day of each month for eligible sales that occurred at least 30 days before the payout date.

A minimum payout threshold of $100 applies. If earned commissions are below the $100 threshold, the balance will roll forward until the threshold is met or until the affiliate account is closed, subject to these Terms & Conditions.

The Company currently pays commissions by check unless the Company approves another payment method in writing.

The Company may withhold payment until the Affiliate provides accurate payment information, mailing address, tax documentation, or other information reasonably required to process payment.

8. Refunds, Chargebacks, Cancellations, and Reversals

If a referred customer requests a refund, initiates a chargeback, cancels, defaults on a payment plan, receives a payment reversal, or otherwise becomes ineligible within the applicable refund or cancellation window, the related commission will be reversed.

If a reversed commission has already been paid, the Company may deduct the reversed amount from future commissions or request repayment from the Affiliate.

The Company may also withhold, delay, reduce, or reverse commissions where the Company determines that the sale resulted from fraud, abuse, self-referral, prohibited conduct, inaccurate promotion, or violation of these Terms & Conditions.

9. Approved Promotional Materials

Affiliates may use only Company-approved promotional copy, links, graphics, logos, descriptions, images, testimonials, program language, and other materials unless the Company gives prior written permission.

Affiliates may describe their genuine experience with NSCC or other Jessica Maguire offers, but they may not make claims, promises, guarantees, or representations that the Company has not approved.

Affiliates must promptly update, correct, or remove outdated or inaccurate promotional materials upon request from the Company.

10. Required Affiliate Disclosures

Affiliates must clearly and conspicuously disclose their affiliate relationship whenever they promote Jessica Maguire, NSCC, or any eligible offer using an affiliate link or where they may earn compensation.

The disclosure must be easy to see, easy to understand, and placed near the affiliate link, recommendation, endorsement, post, video, email, podcast description, or other promotional content.

Acceptable disclosure examples may include:

• “I may earn a commission if you enroll through my link.”
• “Affiliate link: I may receive a commission if you purchase through this link.”
• “I’m a Jessica Maguire affiliate, which means I may earn a commission if you enroll through my link.”

Affiliates may not hide disclosures in footers, terms pages, profile bios only, “read more” sections, or other places where the disclosure is unlikely to be noticed.

Affiliates are responsible for complying with all applicable advertising, endorsement, influencer, email marketing, social media, and disclosure requirements, including Federal Trade Commission requirements and any applicable platform rules.

11. Prohibited Promotional Methods

Affiliates may not engage in any of the following without prior written approval from the Company:

• Paid advertising using Jessica Maguire, NSCC, Company names, trademarks, likenesses, program names, offer names, or affiliate links;
• Search ads, paid social ads, display ads, retargeting ads, or sponsored posts using Company names, marks, misspellings, or confusingly similar terms;
• Coupon, rebate, cashback, discount, loyalty, or deal site promotion;
• Cold mass messaging, spam, unsolicited bulk email, or automated direct messages;
• Promotion in communities, groups, forums, or platforms where affiliate links are not allowed;
• Misleading urgency, fake scarcity, false deadlines, or deceptive enrollment claims;
• Self-referrals, duplicate accounts, fake accounts, fraudulent transactions, cookie stuffing, forced clicks, or artificial tracking methods;
• Impersonation of Jessica Maguire, the Company, Company staff, official accounts, domains, websites, email addresses, or social media profiles;
• Use of Company branding in a way that suggests ownership, official representation, or Company employment;
• Any conduct that violates law, platform rules, professional ethics, privacy obligations, or these Terms & Conditions.

Violation of this section may result in removal from the Affiliate Program, forfeiture of pending commissions, reversal of paid commissions, and any other remedies available to the Company.

12. Claims, Testimonials, and Program Representation

Affiliates may share honest, accurate, and non-misleading personal experiences with Jessica Maguire programs.

Affiliates may not guarantee or imply specific results, including but not limited to:

• Medical, therapeutic, clinical, or healing outcomes;
• Diagnosis, treatment, or cure of any condition;
• Financial results, income increases, or business growth;
• Employment, certification, licensure, credentialing, or continuing education approval;
• Professional advancement or acceptance by any third party;
• Client outcomes or practice results;
• Personal transformation or health outcomes beyond the Affiliate’s honest experience.

Affiliates must not describe NSCC or any Jessica Maguire offer as medical treatment, therapy, clinical supervision, professional licensure, or a substitute for professional training, licensing, healthcare, mental health care, or individualized professional advice.

All official program details must come from Jessica Maguire’s current website, enrollment materials, checkout pages, written program descriptions, or authorized Company communications.

13. Brand Usage

The Company grants approved Affiliates a limited, revocable, non-exclusive, non-transferable right to use Company-approved names, logos, images, descriptions, and promotional materials solely for the purpose of promoting eligible offers under these Terms & Conditions.

Affiliates may not:

• Alter Company logos, trademarks, images, or brand materials;
• Register domains, usernames, handles, pages, groups, ads, or accounts using Jessica Maguire, NSCC, or confusingly similar names;
• Suggest that the Affiliate owns or controls Company intellectual property;
• Use Company branding in a misleading, offensive, harmful, or unauthorized manner;
• Use Company materials after termination or removal from the Affiliate Program.

All Company materials, including course names, logos, copy, graphics, videos, course content, training materials, student resources, frameworks, and promotional assets, remain the property of the Company or its licensors.

14. Customer Relationship

Customers who purchase Jessica Maguire offers are customers of the Company, not the Affiliate.

The Company controls pricing, enrollment decisions, customer service, refunds, payment plans, program access, program delivery, completion requirements, continuing education documentation, and all customer communications.

Affiliates may not collect payment for Company offers, promise admission, guarantee enrollment, modify pricing, approve discounts, make refund commitments, or provide enrollment terms that differ from the Company’s published or approved terms.

15. Confidentiality

Affiliates may receive non-public information about the Company, including launch dates, promotional plans, pricing, student or customer information, internal strategy, performance data, business processes, or affiliate program details.

Affiliates agree to keep confidential information confidential and to use it only for authorized participation in the Affiliate Program.

This confidentiality obligation survives termination of Affiliate participation.

16. Taxes and Reporting

Affiliates are solely responsible for any taxes, reporting obligations, licenses, fees, business expenses, and financial responsibilities related to commissions received through the Affiliate Program.

The Company may require the Affiliate to provide a completed W-9 or other appropriate tax documentation before issuing payment.

The Company may report commission payments to tax authorities when required by law.

17. Independent Contractor Relationship

Affiliates participate as independent contractors.

Nothing in these Terms & Conditions creates an employment, agency, partnership, joint venture, franchise, legal representative, fiduciary, or sales representative relationship between the Affiliate and the Company.

Affiliates have no authority to bind the Company, make promises on behalf of the Company, accept payment for the Company, approve enrollment, negotiate terms, or represent themselves as part of Jessica Maguire’s staff or official sales team.

18. Suspension and Termination

Either party may end Affiliate participation at any time with written notice.

The Company may immediately suspend or terminate an Affiliate for any reason, including but not limited to:

• Violation of these Terms & Conditions;
• Suspected fraud, abuse, or self-referral;
• Brand misuse;
• Misleading promotion;
• Failure to provide required disclosures;
• Non-compliance with law or platform rules;
• Reputational harm;
• Conduct inconsistent with the Company’s values, standards, or Affiliate Program.

Upon termination, the Affiliate must immediately stop using Company affiliate links, logos, promotional materials, brand references, and affiliate claims, except for truthful historical references that do not imply ongoing affiliate status.

19. Effect of Termination on Commissions

After termination, the Company may pay eligible commissions earned before the termination date, subject to the payout threshold, refund reversals, chargebacks, fraud review, compliance review, and these Terms & Conditions.

The Company may withhold, cancel, or reverse unpaid commissions resulting from prohibited conduct, fraudulent activity, inaccurate promotion, failure to disclose, or material breach of these Terms & Conditions.

20. Program Changes

The Company may update, modify, pause, suspend, or terminate the Affiliate Program at any time.

This includes the right to change:

• Commission rates;
• Eligible offers;
• Affiliate tiers;
• VIP Partner qualifications;
• Cookie windows;
• Payout procedures;
• Payment methods;
• Promotional rules;
• Brand guidelines;
• Application requirements;
• Tracking systems;
• Program availability.

The Company will make reasonable efforts to communicate material updates. Continued participation after notice of updated terms constitutes acceptance of the updated terms.

21. No Guarantee of Results

The Company does not guarantee that any Affiliate will receive traffic, clicks, sales, commissions, income, exposure, business growth, or any other result from participation in the Affiliate Program.

Affiliate results depend on many factors, including audience, promotion method, timing, offer availability, customer decision-making, and compliance with these Terms & Conditions.

22. Limitation of Liability

To the fullest extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost commissions, loss of business opportunity, or reputational harm arising out of or related to the Affiliate Program.

The Company is not responsible for lost, delayed, misdirected, incomplete, untracked, incorrectly submitted, or technically failed referrals; third-party platform issues; email delivery issues; payment delays; tracking errors; or other issues outside the Company’s reasonable control.

23. Indemnification

Affiliate agrees to indemnify, defend, and hold harmless Neuroregulation Seminars and Programs, Inc. (d/b/a Jessica Maguire), Jessica Maguire, and their officers, directors, team members, contractors, representatives, successors, and assigns from and against any claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Affiliate’s promotion of Company offers;
• Affiliate’s breach of these Terms & Conditions;
• Affiliate’s violation of law, platform rules, or professional obligations;
• Affiliate’s misuse of Company materials or intellectual property;
• Affiliate’s failure to provide required disclosures;
• Affiliate’s false, misleading, or unauthorized claims;
• Affiliate’s representations, promises, or communications to customers or prospective customers.

24. Governing Law and Venue

These Terms & Conditions are governed by the laws of the State of California, without regard to conflict-of-law rules.

Any dispute arising out of or related to these Terms & Conditions or the Affiliate Program will be brought in the state or federal courts located in San Diego County, California, unless the parties agree in writing to another dispute resolution process or applicable law requires otherwise.

25. Entire Agreement

These Terms & Conditions, together with any written affiliate agreement, affiliate application, written promotional guidelines, brand guidelines, approved promotional rules, and offer-specific terms provided by the Company, constitute the entire agreement between the Affiliate and the Company regarding participation in the Affiliate Program.

If there is a conflict between these Terms & Conditions and a signed written affiliate agreement, the signed written agreement will control unless the Company states otherwise in writing.

27. Affiliate Acknowledgment

By applying to, being approved for, or participating in the Affiliate Program, Affiliate confirms that Affiliate has read, understands, and agrees to comply with these Terms & Conditions, including the commission structure, 90-day cookie window, monthly payout process, refund reversal policy, disclosure requirements, brand usage rules, and prohibited promotion methods.

Affiliate confirms that clear affiliate disclosures will be used in all promotions where required.

Affiliate agrees not to run paid ads using Company names, marks, program names, offer names, likenesses, or affiliate links without prior written approval.

Affiliate agrees to use only approved promotional materials and accurate program descriptions.
